PROVIDER/INDEPENDENT AGENT AGREEMENT  GREATER MIAMI CRUISE INTERNATIONAL         THIS AGREEMENT made this______day of ________20 by and between ____________________agent  address  ________________________________________and Greater Miami Cruise International the (Provider ) with address at 2530 SW 87th Ave suite D Miami,Fl 33165    In consideration of the mutual covenants ,promises and in consideration set forth here in the agent and the provider agent agree as follow..   1.APPOINTMENT OF AGENT - The provider will permit agent (a)- To solicit and reserve travel through the providers agency    (b)- The agent will be responsible for the collection of funds , and will  report all collected funds immediately with to the provider for  depositing in suppliers account .   2.LIMITATION OF AGENTS   (A) The agent has no authority to change any rules , regulations restrictions or conditions of a supplier without the written  permission of said supplier   (b)-The authority of the agent is limited to that of reserving travel, collecting, and immediately reporting funds to Supplier.    (c)-Agent may not make changes in the supplier confirmation.    (d)-The agent must always suggest travel insurance to all clients but must never attempt to explain conditions of coverage. Agent must refer client to Insurance Company 800#.    (e)-The agent must always maintain a courteous relationship with all the suppliers reservation agents.    (F)- The agent must exercise prudence when accepting credit card payments and must obtain a credit card imprint as well as the cardholders signature on the UCC forms supplied. (typing or manually printing the information is not acceptable).  (G)-The agent will be responsible for all pending or requested charge backs. Commission from Agents sales will be deducted in order to reimburse supplier/provider.  (H)-Independent Agent is not authorized to accept phone orders without credit card imprint. Properly completed UCC forms must be submitted to the Provider/Supplier.  3.CONFIDENTIALITY CLAUSE  (a)-Agent is prohibited from disclosing any of the terms of this agreement with any person or other travel company unless written permission is given by an authorized representative of GREATER MIAMI CRUISE INTERNATIONAL.  4.COMMISSION SCHEDULE  (a)-Agent will receive 75% of all commissions paid by a supplier.  (b)-Providers fee/commission on NET RATE BOOKINGS will be calculated as 15% of the base rate excluding taxes.  (c)-Agent will immediately refund any unearned commission received from Supplier/Provider on cancelled bookings.  (d)-Agent will receive 75% of all Tour Conductors space earned on groups they booked. Provider will receive 25% of tour conductors rate.  (E)-Provider/Supplier will deduct pending and earned commissions in order to settle any charge backs on sales booked by the agent and where cancellation charges are disputed by the client.  (f)-Provider/supplier will charge $10.00 service fee on each / every airline ticked individual and group . (g)-Credit card payments Cruises and tours commission will be paid after departure date of Travel.   5.INDEPENDENT AGENT/CONTRACTOR  (a)-The agent is an Independent contractor and not an employee of the Provider Agent. The agent shall be free to exercise his/her own judgment as to the persons from whom he/she shall solicit travel business and the time, place, and manner of such solicitations. The agent will have full control of the Provider/Supplier he selects for his clients.    (b)-Agent is responsible to comply with the laws and regulations of the City, County, and State he/she resides in.  6.TERMINATION OF THE AGREEMENT  (a)-Immediately in the event of fraud, insolvency, or gross and willful misconduct by the agent.  (b)-If agent is delinquent in remitting to Provider/Supplier any funds due.  (a)-At any time by Agent.  7.EFFECT OF TERMINATION  (a)-All current reservations placed by agent will be protected for the full commission less any expense to service the accounts.  8.FEES SERVICE CHARGE AND CONDITIONS:  (a)-A one time service charge of $379.00 and the completed application and signed contract will immediately give you the authority to make reservations with our suppliers.  (b)-The agent will be required to maintain his/her own commission record.  (c)-Commissions on groups will be paid after completion of travel and final settlement with the supplier.  (d)-Agent will be E-Mailed all Cruise Lines promotions immediately received at Providers office.    9.Agreement Modification  Greater Miami Cruise reserves the right to amend/modify the conditions of this agreement, The independent agent has the responsibility to  review these conditions periodically . As an independent agent you agree to accept these terms and conditions in the current form .     10.DISPUTES, CHOICE OF FORUM AND VENUE GOVERNING LAWS  (a) This agreement shall be governed by and interpreted in accordance with the laws of the State of Florida without regard to its conflict of laws principles. Independent Agent agrees that any and all lawsuits arising out of or relating in any way to this agreement shall be litigated only in the State or Federal Courts sitting in Dade County, Florida, and the Independent Agent submits to the jurisdiction of each of such courts for such purposes.  **For the purpose of this agreement the following definitions will apply to describe the participant parties**  Independent Contractor--------------------------------------------AGENT  Greater Miami Cruise International-----------------------PROVIDER  Cruise Lines, Tour Companies, Air Lines, Hotels--SUPPLIERS  Agents hereby acknowledge that they have carefully read all the conditions of this agreement and that they will comply  with all the conditions, duties, and obligations of this agreement.
